It goes always back to the same question: Do you want to keep both, SAT and CDC/Phat/IceLink? If you only want CDC/Phat/IceLink then yes, it will work. If you want to keep both you have to add some wires between the SAT receiver and the CDC/Phat/iceLink.
Quick Question: Will the Phatbox work on a 2006 S4?
I'm curious because someone told me it wouldn't but the head unit is a Symphony II and they have the Satellite Radio installed.

Well its not for me. But I'm pretty sure that he wants and has the following:
Symphony II
OEM Satellite Radio
and he wants to add the Phatbox.
